This Terms of Service Agreement (the "Agreement") governs your use of PollReach ("Company," "we," "our," or "us") and our website, services, and any content provided in connection with our platform ("Services"). By accessing or using PollReach, you ("User," "you," "your") agree to comply with and be bound by the terms and conditions set forth in this Agreement. If you do not agree with these terms, you must immediately cease using our Services.

PollReach reserves the right to modify or update this Agreement at any time without prior notice. It is your responsibility to review this Agreement periodically for changes. Continued use of the Services after any modifications signifies your acceptance of the updated terms.

1. Eligibility & Acceptance

By using PollReach, you confirm that you meet one of the following eligibility requirements:

  • You are at least 18 years of age and legally capable of entering into a binding contract.
  • If you are under the age of majority in your jurisdiction, your parent or legal guardian has reviewed and accepted this Agreement on your behalf.

    • 2. Grant of License

    PollReach grants you a non-exclusive, non-transferable, limited license to use our Services in accordance with this Agreement. This license does not grant you any ownership rights in our intellectual property, trademarks, or proprietary technologies.

    3. Privacy Policy

    Your privacy is important to us. Our collection, use, and disclosure of your information are governed by our Privacy Policy, which is incorporated into this Agreement by reference. Please review our Privacy Policy at [PollReach Privacy Policy URL].

    4. Membership & Registration

    4.1 Membership Approval

    Membership in PollReach is subject to approval. We reserve the right to approve or deny membership at our sole discretion, with or without cause. Approval applies only to the specific root URLs for which the user has applied.

    4.2 Publisher & Advertiser Approval

    Registration does not automatically grant the right to access our Services. All prospective Publishers and Advertisers must be approved by PollReach before they can utilize our Services. We reserve the right to withdraw approval at any time without prior notice.

    5. Services

    PollReach provides digital advertising and market research services, including:

  • Publisher Services: Access to advertising campaigns where compensation is derived from specified actions (e.g., clicks, leads, sales, impressions).
  • Advertiser Services: Access to targeted advertising solutions for reaching high-quality audiences.

    • PollReach may suspend or terminate any Services at any time, with or without notice.

    6. Publisher Responsibilities

    If you are a Publisher, you agree to the following conditions:

  • You must accurately represent your website, app, or platform.
  • You will not engage in fraudulent traffic generation (e.g., automated clicks, bot traffic, misleading content).
  • You must comply with all applicable laws, including consumer privacy regulations and the CAN-SPAM Act.
  • You may not alter advertisements without prior written consent.
  • Incentivized traffic must be disclosed and pre-approved by PollReach.

    • Failure to adhere to these requirements may result in account suspension, termination, or forfeiture of earnings.

    7. Advertiser Responsibilities

    If you are an Advertiser, you agree to the following conditions:

  • Your campaigns must comply with all applicable laws and advertising guidelines.
  • You may not use misleading, deceptive, or fraudulent marketing practices.
  • Your content must be accurate and relevant to the intended audience.
  • You are responsible for payment obligations related to your campaigns.

    • PollReach reserves the right to suspend or terminate Advertiser accounts for violations of these policies.

    8. Payment Terms

    8.1 Publisher Payments

  • Publishers are compensated based on completed and verified transactions.
  • Minimum payout thresholds apply: $100 for PayPal and $500 for wire transfers (with a $20 processing fee for wire transfers under $1,000).
  • Payments are made approximately 60 days after invoicing.
  • If an Advertiser fails to pay for a campaign, PollReach is not liable for unpaid earnings.

    • 8.2 Advertiser Payments

  • Advertisers must maintain a positive account balance to run campaigns.
  • Fees are non-refundable, and Advertisers are responsible for chargebacks or fraudulent transactions.

    • 9. Prohibited Activities

    You agree not to:

  • Use PollReach for unlawful purposes.
  • Engage in fraudulent or deceptive practices.
  • Distribute malware, spyware, or other harmful software.
  • Violate intellectual property rights of PollReach or third parties.
  • Interfere with our platform's functionality.

    • 10. Intellectual Property Rights

    PollReach and its licensors retain all ownership rights in the Services, trademarks, content, and technology. You may not reproduce, modify, or distribute any content from our platform without explicit permission.

    11. Limitation of Liability

    To the maximum extent permitted by law:

  • PollReach is not liable for any indirect, incidental, or consequential damages arising from the use of our Services.
  • We do not guarantee uninterrupted or error-free service.
  • Our total liability for any claim shall not exceed the amount paid by you in the six months preceding the claim.

    • 12. Indemnification

    You agree to indemnify and hold harmless PollReach, its affiliates, employees, and agents from any claims, damages, liabilities, and expenses arising from:

  • Your use of our Services.
  • Your breach of this Agreement.
  • Your violation of any applicable laws or third-party rights.

    • 13. Termination

    PollReach reserves the right to terminate or suspend your access to our Services for any reason, including but not limited to:

  • Breach of this Agreement.
  • Suspected fraudulent or illegal activities.
  • Non-payment of applicable fees.

    • Termination does not waive any outstanding payment obligations.

    14. Governing Law & Dispute Resolution
